Terms & Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE AIDIN PLATFORM OR WEBSITE.

1. Acceptance of Terms

This Terms and Conditions agreement ("Terms") constitutes a legally binding agreement between you ("User," "You," or "Your") and Aidin Health, d/b/a Aidin ("Aidin," "We," "Us," or "Our"), concerning your access to and use of the Aidin website located at https://www.aidin.health, as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto, and the services, features, content, or applications offered by Aidin (collectively, the "Service").  

By accessing or using the Service, creating an account, or clicking to accept or agree to the Terms when this option is made available to you, you (1) acknowledge that you have read, understand, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated herein by reference; and (2) represent and warrant that you are of legal age and have the legal authority to enter into this agreement, either personally or on behalf of the entity you represent. If you do not agree to these Terms or the associated policies, you must not access or use the Service.  

2. Service Description

Aidin provides a platform utilizing artificial intelligence to assist with documentation processes [Add a brief, slightly more specific description if desired, e.g., related to healthcare workflows, lab service coordination, etc., but avoid overly technical or marketing language]. The specific features and functionalities of the Service may change from time to time at Aidin's sole discretion.

3. User Accounts

  • Registration: To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.  

  • Account Security: You are responsible for safeguarding your account password and any other credentials used to access the Service. You are responsible for all activities that occur under your account, whether or not you authorized that activity. You agree to notify Aidin immediately of any unauthorized use of your account. Aidin is not liable for any loss or damage arising from your failure to protect your login information.  

  • Organizational Users: If you are using the Service on behalf of an organization (e.g., a hospital, clinic, company), you represent and warrant that you have the authority to bind that organization to these Terms, and "You" and "Your" will refer to that organization.  

4. Acceptable Use and User Conduct

You agree not to use the Service for any purpose that is prohibited by these Terms or by applicable law. You shall not (and shall not permit any third party to):  

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law (including, without limitation, laws regarding data privacy, export control, and healthcare regulations like HIPAA where applicable).  

  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.

  • Attempt to gain unauthorized access to the Service or its related systems or networks.  

  • Upload, transmit, or distribute any computer viruses, worms, or any software intended to damage or alter a computer system or data.

  • Harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses, without their consent.  

  • Use the Service to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights.  

  • Use any automated system, including "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to the Aidin servers than a human can reasonably produce in the same period by using a conventional on-line web browser.  

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Service.  

  • Modify, translate, or create derivative works based on the Service.  

5. User Data and Content

  • Your Data: You retain all ownership rights to the data, information, documents, and other content you upload, submit, or otherwise make available through the Service ("User Data").

  • License to Aidin: You grant Aidin a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Data solely to the extent necessary to provide, maintain, and improve the Service and as permitted by our Privacy Policy.  

  • Responsibility for User Data: You are solely responsible for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all User Data. You represent and warrant that you have all necessary rights, consents, and permissions to submit the User Data to the Service and to grant the licenses herein.  

  • Protected Health Information (PHI): If You are a covered entity or business associate under HIPAA and use the Service in a manner involving PHI, You agree to enter into Aidin's standard Business Associate Agreement ("BAA"). The terms of the executed BAA shall govern the handling of PHI and will supersede any conflicting terms in this T&C regarding PHI. You agree not to transmit any PHI through the Service unless a valid BAA is in place between You and Aidin.

  • AI Output: The Service may utilize artificial intelligence to generate summaries, analyses, or other outputs based on User Data ("AI Output"). While Aidin strives for accuracy, AI Output may contain errors or inaccuracies. You acknowledge that AI Output is provided for informational purposes only. You are solely responsible for reviewing, verifying, and validating the accuracy and appropriateness of any AI Output before relying on it or using it for any purpose, including but not limited to clinical decision-making, billing, or compliance documentation. Aidin expressly disclaims any liability for errors or omissions in AI Output.

6. Fees and Payment [Include/Modify this Section if Aidin is a paid service]

  • Subscription Fees: Access to certain features of the Service may require payment of subscription fees. All fees are stated in U.S. Dollars unless otherwise specified.

  • Payment Terms: You agree to pay all applicable fees as described on the Site or in a separate agreement with Aidin. You authorize Aidin (or its third-party payment processor) to charge your chosen payment method for all fees incurred.

  • Renewals: Unless otherwise specified, subscriptions will automatically renew for the same duration as the initial term. You may cancel your subscription upon expiration of your subscription’s term.

  • Taxes: Fees are exclusive of taxes. You are responsible for paying all taxes associated with your purchase.

7. Intellectual Property Rights

  • Aidin IP: The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Aidin, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.  

  • Limited License: Subject to your compliance with these Terms, Aidin grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes [Adjust purpose if needed, e.g., "personal, non-commercial use" if applicable] during the term of your subscription or authorized access.  

  • Restrictions: You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as explicitly permitted by these Terms or the Service's functionality.  

  • Trademarks: The Aidin name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Aidin or its affiliates or licensors. You must not use such marks without the prior written permission of Aidin.

8. Confidentiality

"Confidential Information" means any non-public information disclosed by one party ("Discloser") to the other party ("Recipient"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Aidin's Confidential Information includes the Service itself, its underlying technology, and its pricing. Your Confidential Information includes your User Data (subject to the licenses granted herein and the terms of the Privacy Policy and BAA, if applicable). Recipient agrees not to disclose Discloser's Confidential Information to any third party except as permitted herein or required by law, and to use such information only for the purpose of fulfilling its obligations or exercising its rights under these Terms. Recipient will use the same degree of care to protect Confidential Information as it uses for its own similar information, but no less than reasonable care.  

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AIDIN AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.  

AIDIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.  

AIDIN MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, ACCURACY OR COMPLETENESS OF THE SERVICE OR ANY CONTENT (INCLUDING AI OUTPUT). YOU ACKNOWLEDGE THAT YOUR RELIANCE ON THE SERVICE AND ANY CONTENT IS SOLELY AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIDIN, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF AIDIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIDIN'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, WILL BE LIMITED TO AND WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO AIDIN FOR THE USE OF THE SERVICE IN THE [e.g., SIX (6) or TWELVE (12)] MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.  

11. Indemnification  

You agree to defend, indemnify, and hold harmless Aidin, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Data, any use of the Service's content (including AI Output), services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.  

12. Term and Termination

  • Term: These Terms commence on the date you first accept them and continue in effect until terminated as set forth herein.

  • Termination by You: You may terminate your account and these Terms at any time by terminating our services in our administrator portal in our application.

  • Termination by Aidin: Aidin may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, but are not limited to, (a) breach of these Terms, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification of the Service, or (d) unexpected technical or security issues.  

  • Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Aidin may delete your User Data upon termination, subject to the terms of the Privacy Policy and any applicable BAA.  

13. Modifications to Terms

Aidin reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect (e.g., by posting a notice on the Site or sending an email to your registered email address). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.  

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles.  

15. Dispute Resolution

  • Negotiation: The parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Service through informal negotiation for at least thirty (30) days before initiating any arbitration or court proceeding. Negotiations begin upon written notice from one party to the other.

  • Binding Arbitration: If the parties are unable to resolve a dispute through informal negotiation, the dispute (except for disputes regarding the enforcement or validity of intellectual property rights or requests for injunctive relief) shall be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so.  

  • Venue: The arbitration shall take place in Clark County, Nevada. The parties agree that any judicial proceeding (other than small claims actions or actions for injunctive relief) will be brought in the federal or state courts located in Clark County, Nevada, and the parties hereby consent to the personal jurisdiction and venue in such courts.  

  • Class Action Waiver: THE PARTIES AGREE THAT ANY ARBITRATION OR COURT PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN THE PARTIES INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (I) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (II) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (III) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.  

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any applicable BAA or other specific agreement executed between You and Aidin, constitute the entire agreement between You and Aidin regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

  • Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.  

  • Waiver: No waiver by Aidin of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Aidin to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.  

  • Assignment: You may not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Aidin may assign its rights and obligations under these Terms without restriction.  

  • Notices: All notices to Aidin under these Terms should be sent to info@aidin.health. Notices to You may be sent to the email address associated with your account or by posting on the Service.
