Terms of Service
Effective Date: February 6, 20261. Acceptance of Terms
By accessing and using the AidiN Health platform (the "Service"), you agree to be bound by these Terms of Service (the "Agreement"). If you do not agree to these terms, please do not use the Service. By creating an account or subscribing to the Service, you acknowledge that you have read, understood, and accept all terms and conditions contained herein.
These Terms constitute the entire agreement between you and AidiN Health regarding the use of the Service and supersede all prior negotiations, representations, and agreements between the parties, whether written or oral.
2. Description of Service
AidiN Health is a subscription-based Software-as-a-Service (SaaS) platform designed to help healthcare providers, laboratories, and B2B companies optimize their revenue cycle management. Our Service includes features for:
- Claim denial prevention and analysis
- Revenue cycle management and optimization
- Benefits eligibility verification and coverage discovery
- Claim status tracking
- Electronic Remittance Advice (ERA) management
- Integration with third-party healthcare systems and platforms
The Service is accessible through a web-based platform and API integrations. Features, functionality, and availability are subject to the subscription plan selected.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, including username and password.
3.2 Account Security
You agree to:
- Notify AidiN Health immediately of any unauthorized access or breach of your account
- Not share your account credentials with unauthorized persons
- Implement appropriate safeguards to protect your login information
- Maintain all passwords securely and change them regularly
3.3 Account Ownership
You are solely responsible for all activities conducted under your account, including those performed by authorized users. You agree to maintain accurate and updated contact information.
4. Subscription and Payment Terms
4.1 Subscription Plans
AidiN Health offers subscription-based pricing with plans starting at $449/month. Specific features and limits vary by plan. Current pricing and plan details are available on our website at aidin.health.
4.2 Billing
Billing occurs on a monthly basis on the anniversary date of your subscription. You authorize AidiN Health to charge the payment method on file for the subscription fee plus applicable taxes and fees. If payment fails, we will attempt to retry using the payment method on file.
4.3 Price Changes
AidiN Health reserves the right to modify subscription pricing with thirty (30) days written notice. Price increases will not apply to your current billing period. If you do not accept a price increase, you may cancel your subscription before the new pricing takes effect.
4.4 Refunds
Subscription fees are non-refundable except as required by law or as explicitly stated in this Agreement. Cancellations made during a billing period do not entitle you to a refund for the current period; however, you will have continued access until the end of your billing period.
4.5 Taxes
You are responsible for all applicable sales, use, GST, and other taxes. If AidiN Health is obligated to collect taxes, they will be added to your invoice.
5. Permitted Use and Restrictions
5.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with applicable laws and regulations. You agree not to use the Service:
- In violation of any applicable law, regulation, or industry standard
- To transmit malware, viruses, worms, or other malicious code
- To access the Service through unauthorized means or bypass security measures
- To attempt to reverse engineer, decompile, or discover the source code or algorithms
- To engage in competitive analysis, benchmarking, or creating competing services
- To use the Service to develop similar products or services
- To remove, obscure, or alter any proprietary notices or labels
- To use the Service for any unauthorized or illegal purpose
5.2 Automated Access
You may not use bots, crawlers, scraping tools, or automated systems to access the Service without prior written consent from AidiN Health.
6. User Responsibilities
6.1 Data Accuracy
You are responsible for the accuracy, quality, and legality of all data you input, upload, or process through the Service. You warrant that all information provided is true, accurate, and not misleading.
6.2 Compliance with Laws
You agree to comply with all applicable federal, state, and local laws and regulations, including healthcare laws such as HIPAA, the Health Information Technology for Economic and Clinical Health (HITECH) Act, and state privacy laws.
6.3 HIPAA Obligations
If you are a covered entity or business associate under HIPAA, you acknowledge your obligations under the Health Insurance Portability and Accountability Act and agree to comply with all HIPAA requirements. You further agree that AidiN Health may serve as a Business Associate and that you will execute a Business Associate Agreement (BAA) before processing Protected Health Information (PHI).
6.4 No Medical Advice
The Service is not intended to provide medical advice, diagnose conditions, or replace professional judgment. You acknowledge that any information or analysis generated by the Service is for informational purposes only and should not be relied upon as medical advice. Final medical and clinical decisions rest solely with licensed healthcare professionals.
7. Intellectual Property Rights
7.1 AidiN Health IP
All intellectual property rights in the Service, including but not limited to software, algorithms, user interfaces, documentation, and any improvements, enhancements, or modifications, are the exclusive property of AidiN Health or its licensors.
7.2 Limited License
AidiN Health grants you a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during the term of your subscription. This license does not grant you any ownership rights in the Service.
7.3 Restrictions
You may not:
- Sublicense, resell, rent, or lease the Service
- Create derivative works from the Service
- Use the Service for third parties or as a service bureau
- Transfer your license to any other party
7.4 Feedback
Any feedback, suggestions, or comments you provide regarding the Service may be used by AidiN Health without restriction or compensation to you.
8. Data Ownership and Licensing
8.1 Your Data
You retain all ownership rights to your data, including patient information, claims data, and other content you provide to the Service ("Your Data"). You grant AidiN Health a non-exclusive, worldwide license to access, use, process, and store Your Data solely to provide the Service to you and to comply with legal obligations.
8.2 Use of Your Data
AidiN Health may use aggregated, anonymized, or de-identified data derived from Your Data for:
- Service improvement and optimization
- Machine learning model training (only on de-identified data)
- Analytics, reporting, and benchmarking
- Compliance and legal obligations
8.3 Data Processing
You acknowledge that AidiN Health may process Your Data in accordance with your Subscription plan. All processing of Protected Health Information (PHI) will be governed by the Business Associate Agreement.
9. Confidentiality
9.1 Confidential Information
Each party agrees to maintain the confidentiality of the other party's confidential information and to use such information solely for the purposes of this Agreement.
9.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes publicly available without breach of this Agreement
- Is rightfully received from a third party without confidentiality obligations
- Is independently developed without reference to the confidential information
- Is required to be disclosed by law, court order, or regulatory agency
9.3 Protection
Each party will implement reasonable measures to protect confidential information from unauthorized access, use, or disclosure.
10. HIPAA Compliance and Business Associate Relationships
10.1 HIPAA Covered Entity Status
AidiN Health acknowledges that it may process Protected Health Information (PHI) on behalf of covered entities and business associates under HIPAA.
10.2 Business Associate Agreement
If you are a covered entity or business associate, you acknowledge that you will execute a Business Associate Agreement (BAA) with AidiN Health prior to the transmission of any PHI. The BAA will establish AidiN Health's obligations as a business associate under the HIPAA Privacy, Security, and Breach Notification Rules.
10.3 Security Standards
AidiN Health implements administrative, physical, and technical safeguards designed to protect PHI in accordance with 45 CFR Part 164 (HIPAA Security Rule). These safeguards include:
- Encryption of PHI in transit and at rest
- Access controls and authentication mechanisms
- Audit logs and monitoring
- Regular security assessments and vulnerability testing
- Employee training on HIPAA compliance
- Incident response and breach notification procedures
10.4 Breach Notification
In the event of a suspected breach of unsecured PHI, AidiN Health will notify you without unreasonable delay and take appropriate remedial actions. Notification will comply with the HIPAA Breach Notification Rule.
10.5 Subcontractors
AidiN Health may use subcontractors to process PHI only if they are subject to written agreements that include the same restrictions and conditions as this Agreement and the BAA.
11. Service Level and Availability
11.1 Uptime Commitment
AidiN Health commits to maintaining 99.5% monthly uptime for the Service, measured from the start of each calendar month. Scheduled maintenance windows, which will be scheduled outside business hours when possible, are excluded from this commitment.
11.2 Scheduled Maintenance
AidiN Health may perform scheduled maintenance with forty-eight (48) hours notice to you. During maintenance windows, the Service may be temporarily unavailable.
11.3 Service Status
AidiN Health maintains a service status page at aidin.health that displays real-time information about Service availability and incidents. You may subscribe to notifications for Service updates.
11.4 Limitations
AidiN Health is not responsible for unavailability caused by:
- Force majeure events
- User actions or misconfigurations
- Third-party systems or internet connectivity
- DDoS attacks or cyberattacks
11.5 SLA Credits
In the event the Service fails to meet the 99.5% uptime commitment, you may be eligible for service credits in accordance with the published SLA. Service credits are the sole remedy for Service availability failures.
12. Third-Party Integrations
12.1 Third-Party Services
The Service may integrate with third-party services, applications, and platforms (e.g., EHR systems, claim management platforms). Your use of third-party services is subject to their respective terms of service and privacy policies.
12.2 No Responsibility
AidiN Health is not responsible for the availability, functionality, security, or accuracy of third-party services. AidiN Health does not endorse or guarantee any third-party service.
12.3 Data Sharing
You are responsible for authorizing and managing the sharing of your data with third-party services. AidiN Health does not guarantee the security of data transmitted to third-party systems.
12.4 Integration Support
AidiN Health provides technical support for the integration of third-party services only to the extent provided in your Subscription plan.
13. Disclaimers and Limitation of Liability
13.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AIDIN HEALTH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13.2 No Medical Warranty
AidiN Health does not warrant that the Service will be suitable for your medical, clinical, or operational requirements. AidiN Health does not warrant that any analysis, recommendations, or output generated by the Service is accurate, complete, or suitable for clinical decision-making.
13.3 Limitation of Liability
IN NO EVENT SHALL AIDIN HEALTH BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, lost revenues, lost business opportunities, or lost data
- Business interruption or loss of use
- Even if advised of the possibility of such damages
13.4 Liability Cap
EXCEPT AS PROHIBITED BY LAW, AIDIN HEALTH'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO AIDIN HEALTH DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13.5 Essential Terms
You agree that the limitation of liability is an essential term and that neither party would enter into this Agreement without these limitations.
14. Indemnification
14.1 Your Indemnification
You agree to indemnify, defend, and hold harmless AidiN Health and its officers, directors, employees, agents, and representatives from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys fees) arising from or related to:
- Your use of the Service in violation of this Agreement
- Your violation of applicable laws or regulations
- Your data or content you provide to the Service
- Your infringement of any third-party intellectual property rights
- Claims by third parties related to Your Data or your use of the Service
14.2 AidiN Health Indemnification
AidiN Health agrees to indemnify you for third-party claims that the Service, as provided by AidiN Health and used in accordance with this Agreement, infringes any patent, copyright, or trademark of a third party.
14.3 Conditions
Indemnification obligations are conditioned upon the indemnified party providing prompt written notice of the claim and cooperating reasonably in the defense of the claim.
15. Term and Termination
15.1 Term
This Agreement begins when you create an account and continues until terminated by either party.
15.2 Termination by You
You may terminate your subscription at any time by providing thirty (30) days written notice to legal@aidin.health. Termination will take effect at the end of your current billing period.
15.3 Termination by AidiN Health
AidiN Health may terminate this Agreement:
- Immediately if you breach a material term of this Agreement and fail to cure it within thirty (30) days of written notice
- Immediately if you violate applicable laws or regulations
- Immediately if you breach HIPAA or the Business Associate Agreement
- For convenience with thirty (30) days written notice
15.4 Effect of Termination
Termination does not relieve you of obligations for fees accrued prior to termination. Upon termination, your account access will be disabled at the end of your current billing period.
16. Effect of Termination
16.1 Data Return and Deletion
Upon termination of your subscription, you may request the return or deletion of Your Data. AidiN Health will:
- Provide you with an export of Your Data within thirty (30) days of termination
- Securely delete Your Data from the Service within sixty (60) days of termination, unless retention is required by law
- Provide a written certification of deletion upon request
16.2 Survival of Obligations
The following sections survive termination: Intellectual Property Rights, Data Ownership and Licensing, Confidentiality, HIPAA Compliance, Limitation of Liability, Indemnification, and Dispute Resolution.
16.3 Survival of Responsibilities
You remain responsible for any breaches occurring during the term of this Agreement, including payment obligations for services rendered prior to termination.
17. Dispute Resolution
17.1 Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
17.2 Arbitration Clause
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Service (including disputes regarding the interpretation, breach, enforcement, or termination of this Agreement) shall be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration and Mediation Services Rules and Procedures, rather than in court.
17.3 Arbitration Procedures
The arbitration shall be conducted by a single neutral arbitrator with relevant expertise. The arbitration shall take place in Wilmington, Delaware, or such other location as agreed by the parties. Each party bears its own attorneys fees and costs, except as provided by law.
17.4 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, GROUP, OR REPRESENTATIVE BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS AGAINST AIDIN HEALTH.
17.5 Exceptions
Notwithstanding the above, the following disputes may be brought in court:
- Claims for injunctive or equitable relief
- Claims arising from or relating to intellectual property infringement
- Small claims brought in small claims court
17.6 Informal Resolution
Before initiating arbitration, the parties agree to attempt to resolve the dispute informally by negotiation for thirty (30) days.
18. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, wars, terrorism, pandemics, government actions, or telecommunications failures. The affected party shall promptly notify the other party of the force majeure event and use reasonable efforts to resume performance.
Force majeure events do not excuse payment obligations.
19. Modifications to Terms
AidiN Health may modify these Terms of Service at any time by posting the updated Terms on our website at aidin.health. Material changes will be communicated to you via email at least thirty (30) days prior to the effective date. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
If you do not agree with any modifications, you may terminate your subscription in accordance with Section 15.2.
20. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if not possible, severed from this Agreement. The remaining provisions shall continue in full force and effect.
21. Entire Agreement
This Agreement, together with the Business Associate Agreement (if applicable), Privacy Policy, and any other documents referenced herein, constitutes the entire agreement between you and AidiN Health regarding the Service and supersedes all prior and contemporaneous understandings, whether written or oral.
